Rome, 12 March 2020 – Astaldi S.p.A. (“Astaldi” or the “Company”) informs of having received a mandate from the judicial commissioners Enrico Proia, Piergiorgio Zampetti and Vincenzo Mascolo (jointly, the “Commissioners”), to disclose the attached communication, prepared by them and dated 11 March 2020, reporting the information on the modalities for attending the creditors’ meeting scheduled for 26 March 2020, from which the following is extracted:

Solely for the purpose of allowing the holding of the creditors’ meeting of Astaldi’s S.p.A. composition procedure numbered 63/2018, in compliance with the provisions regarding the containment and management of the epidemiological emergency (Law Decree no. 6 of 23 February 2020, and implementing provisions as per Prime Minister Decrees dated 23 February 2020, 25 February 2020, 1 March 2020, 4 March 2020, 8 March 2020 and 9 March 2020), the creditors wishing to attend the meeting are invited to inform of their presence, even if through a special attorney, by 18 March 2020, by sending a message to the certified email address or to the email address The bodies of the composition procedure reserve the right to make additional communications concerning the modalities of conducting the meeting. It should be noted that, pursuant to art. 178, subsection 4, of the Italian Insolvency Law, the creditors who have not cast their vote during the meeting may communicate it by telegram or letter to the offices of Mr. Enrico Proia, via Emanuele Gianturco n. 6 – 00196 Rome or by telefax to the number +39068074426 or electronic mail to the addresses mentioned above within twenty days following the finalisation of the minutes of the meeting in question.

As regards the meeting (the “Meeting”) of the holders of the notes denominated “Euro 750,000,000 7.125% Senior Notes due 2020” (ISIN codes: XS1000393899 and XS1000389608), convened on second call on 17 March 2020, at 12:00 p.m. (CET), at the Company’s registered office, Via Giulio Vincenzo Bona 65, 00156, Rome – and, if needed, on third call on 24 March 2020, at 12:00 p.m. (CET), at the Convention Center (Centro Congressi) of Hotel Cristoforo Colombo, Via Cristoforo Colombo, 710, 00144, Rome – the Company recall its invitation, to all those who have not already done so, to cast the vote electronically, without physically attending the meeting, in line with the announcement already made by the Company on 9 March 2020, through the publication of a special press release also available on the Company’s website (Section Media-Press Releases). This also in the light of the recently measures adopted by the public authorities for containing and managing COVID-19 epidemiological emergency with the Italian Prime Minister Decree (“D.P.C.M.”) dated 11 March 2020.
